Item 1-Introduction

Better Financial Services, LLC (“We”, “Our”) is registered with the Securities and Exchange Commission as an investment adviser. Brokerage and investment advisory services and fees differ, and it is important for retail investors to understand the differences. Free and simple tools are available to research firms and financial professionals at Investor.gov/CRS, which also provides educational materials about broker-dealers, investment advisers, and investing.

Item 2-Relationships and Services

What investment services and advice can you provide me?

We are a fee-only, fiduciary advisor and  offer investment advisory services to individuals, trusts, estates, charitable organizations, corporations, associations and other business entities.  We provide discretionary investment management and financial consulting services to clients. 

Our financial consulting services consist of providing clients with investment advice, analysis of financial goals and objectives as well financial and retirement planning. 

For discretionary investment management services, we assist clients in meeting their goals through the use of investments made available through the custodian.  We utilizes various securities, including but not limited to; stocks, bonds, mutual funds, exchange traded funds (ETF), certificates of deposit, real estate investment trusts (REIT), preferred stock, U.S Treasury bonds and other investments available through the custodian. Clients may impose restrictions on purchasing various investments and we will tailor Investment Management based upon the individual needs of the client. In determining the appropriate suitability for the Client, we will consider all information provided by the Client. Clients receive ongoing portfolio construction, investment selection, monitoring, rebalancing, reporting and execution of trades on a discretionary basis, which means we will not obtain Client’s consent before making trades.  Our firm does not have a minimum account size.

Item 3-Fees, Costs, Conflicts, and Standard of Conduct

What fees will I pay?

Financial consulting services are offered and will be billed on an hourly fee of $500 or a flat fee basis that ranges between $2,500 and $10,000 depending of the complexity of the plan and the topics covered. An estimate of the number of hours to complete the project and the estimated fee will be provided to the client at engagement. Half of the estimated fee is due at engagement with remainder due at the completion of the service. At the completion of the project, the client will be presented with an invoice showing the total fee, the calculation, number of hours spent on the project, time period covered and the services provided. 

We charge a maximum annual management fee of 1.50% quarterly in arrears. The initial advisory fee shall be based on the account’s custodian reported market value (including cash and cash equivalents) on the last calendar day of the first quarter we manage the account. The fee will be prorated for the number of days in the quarter that the account is managed (contributions and withdrawals made thereafter will also be prorated). Subsequent quarterly advisory fees will be based on the account’s custodian reported market value as of the close of business on the last business day of the quarter. The fee may be negotiable.

Our management fees are exclusive of account maintenance fees, brokerage commissions, transaction fees, and other custodian related costs and expenses. Mutual funds and exchange traded funds charge internal fees that are separate from our management fee.

You will pay fees and costs whether you make or lose money on your investments. Fees and costs will reduce any amount of money you make on your investments over time. What are your legal obligations to me when acting as my investment adviser? How else does your firm make money and what conflicts of interest do you have?

When we act as your investment adviser, we have to act in your best interest and not put our interest ahead of yours. At the same time, the way we make money creates some conflicts with your interests. You should understand and ask us about these conflicts because they can affect the investment advice we provide you. Here are some examples to help you understand what this means:

–      The amount of assets in your account affects our advisory fee. The more assets you have in your advisory account, the more you will pay us in fees. We have an incentive to increase those assets under our management.

–      When we recommend that you rollover a retirement account for us to manage, this creates a conflict of financial incentive because we charge a fee for our services. 

–      Our owner holds an active insurance license.  However, he does not sell insurance products to our clients, so there is no conflict of interest.

How do your financial professionals make money?

Our financial professionals receive cash compensation from the advisory services we provide to you because of the advisory fees we receive from you. This compensation may vary based on different factors, such as those listed above in this Item. Additionally, our investment professionals are licensed insurance agents.  However, they do not sell insurance products to the firm’s clients.  Please also see Item 10, other financial industry activities and affiliations, of our Brochure for additional details about any conflicts of interest related to this compensation.
